Terms and Conditions of Service

Read the following terms and conditions carefully before downloading, installing or using this Software (defined below). Installing and using the Software indicates your acceptance of these terms and conditions. If you do not agree with such terms and conditions, uninstall this application. This Software is available only to individuals aged 18 years or older.

LICENSE

This End User License Agreement (“License” or “License Agreement”) is a legal agreement between Eastman Kodak Company (“Kodak”) and you and applies to your use of this Prinergy Cloud software, such as the Prinergy Virtual Desktop, KODAK Prinergy, KODAK Preps, KODAK Pandora and Kodak Colorflow software and all related documentation that accompanies this application (“Software”).

Kodak’s licensors refers to any third parties licensing all or any portion of such Software to Kodak. This License is specifically intended for the benefit of Kodak and any Kodak licensors.

1. Grant of License. So long as you are in compliance with this License Agreement, Kodak grants a non-exclusive license to use the Software subject to the restrictions set forth below. No rights to the use of any Kodak, or its licensors’, names, logos or trademarks are conveyed by this License. This License Agreement is not for the sale of Software or any other intellectual property. All right, title and interest, and all intellectual property rights in and to the Software is owned by Kodak or its licensors. Except as expressly stated herein, no other rights are granted to you by implication, estoppel, or otherwise, under any patent, copyright, trade secret, trademark, or other intellectual property right.

2. Restrictions on Use. You may use the Software only from your personal or company electronic device (e.g. computer, mobile phone, etc.). You may not further redistribute, sublicense, rent, loan or lease the Software to a third party.

3. Microsoft EULA. If you are using the Microsoft Remote Desktop software to access your Prinergy Virtual Desktop hosted by Kodak, you agree to be bound by the terms of the Microsoft End User License Agreement.

4. Copyright. The Software is owned by Kodak, its licensors or its suppliers are protected by copyright laws and international treaties. You may not copy the Software other than as expressly provided in this License. You may not reverse engineer, decompile, disassemble or otherwise attempt to derive the source code for the Software, or use any part of the Software for any use other than that for which it was supplied by Kodak, unless specifically authorized by Kodak. You may not modify, adapt, alter, translate, or create derivative works from the Software.

5. Term. This License is effective until terminated. You may terminate this License at any time by ceasing to use the Software. This License will also automatically terminate if you fail to comply with any term or condition of this License. You agree that Kodak also may, at its sole discretion, temporarily or permanently terminate the License without prior notice to you. Upon termination, for any reason, you shall cease using the Software.

6. Compliance with Laws and Terms. You agree to comply with all applicable laws in connection with the use of the Software and Services. The form and content of pictures, text or other material that you transmit or create products from is governed by applicable laws (such as, those prohibiting child abuse, child pornography, copyright infringement, or invasion of privacy). If you use the Software to transmit material to Kodak, its affiliates, or any third party for printing or product fulfillment or other purposes, you must comply with the relevant terms of service. You may not use the Software to transmit to Kodak, its affiliates, or any third parties any pictures, text or other material that is unlawful, whether a violation of civil rights (such as libel) or criminal law (such as obscenity), or that fosters hatred of any race, religion, ethnicity, age-group, gender or sexuality. You agree that you will defend, indemnify and hold Kodak harmless against any claim arising out of or related to your failure to comply with the terms of this Section 5.

7. Software Features. In addition the features described in the Software documentation, the Software may contain features that enable Kodak, via the internet, to notify you of available software upgrades, promotions, products and services in which you may be interested; to update product data files and instructional and marketing content in the Software; and to collect non-personally identifiable usage data . The Software may also contain features that enable you to download store locator files, new product themes and product catalogs. You agree that Kodak may utilize these features to provide such notices and updates, permit such downloads and to collect such data.

8. Privacy. A PRINERGY Virtual Desktop subscription requires a customer to submit the named users that will require access to PRINERGY software and job data to Kodak prior to provisioning of resources. The Software may request or collect certain limited information about you when you use the Software. Such information might consist of your name, if you provide it, your email address, , your username and password for your email accounts and online service providers (including, but not limited to Kodak, Facebook, Twitter, YouTube, and Flickr) (“Login Credentials”) and device identification as well as technical data and related information, including but not limited to technical information about your device, system and application software (collectively “Personal Information”). The Software may also collect information regarding what content you send through the Software and who you send it to (“Transmission Data”). The Software may also use cookies or other passive tracking mechanisms and tools to collect information in order to facilitate your use of the Software. All Personal Information will be handled in accordance with the Kodak Privacy Notice. Any Login Credentials you provide to the Software will be encrypted.

Furthermore, Kodak will collect aggregated non-personal data from all users of the Software relating to, for example, the data related to usage of the Software and Prinergy Services (“Aggregate Data”). Kodak will only use the Aggregate Data to assess the overall use of the Software and the Services by customers in order to determine how the software is being used and how they and other products can be improved.

Please keep in mind that the nature of the Software and services may be interactive, and as part of your use of the Software you will be provided the opportunity to share information and content with third parties. You should use caution when deciding what information and content to share through the Software. You should also use caution when using information about individuals that may be shared with you.

Kodak may share Aggregate Data with vendors who assist Kodak in providing its products and services; with third party business partners with whom Kodak provides joint promotions; with Kodak’s affiliated companies, including any parent or subsidiaries of Kodak; and Kodak may share Aggregate Data if Kodak believes it is necessary to comply with legal process (such as a court order, subpoena, search warrant, etc.), or other legal requirements of any governmental authority; if Kodak believes it would potentially mitigate Kodak’s liability in an actual or potential lawsuit; if Kodak believes it is permitted by law or if doing so will not violate the law; or if Kodak believes it is otherwise necessary to protect Kodak’s rights or property; or is necessary to protect the interests of other users of the Software. In the unlikely event that all or part of Kodak’s business is sold or acquired by a third party, Kodak will transfer such information to the new business owner.

9. Third Party Services and Websites. As part of your use of the Software, you may be provided with the opportunity to access Kodak’s and third party services and web sites (collectively and individually, “Services ”). Use of the Services may require Internet access and that you accept additional terms of use. You acknowledge and agree that while Kodak and/or such third parties may not currently have set a fixed upper limit on the number of transmissions you may send or receive through the Services or the amount of storage space used for the provision of the Service, such fixed upper limits may be set by Kodak and/or such third parties at any time, at Kodak and/or such third parties’ sole discretion.

10. Use of 3^rd Party Software Applications. As part of the Prinergy Virtual Desktop subscription, Kodak may allow you to install certain software applications that have been purchased (or licensed) from third party vendors. You may operate these third-party applications on your Prinergy Virtual Desktop without assistance from Kodak. You understand and agree that your use of these products is subject to the terms of your agreement with the third party. Kodak does not provide any support, maintenance or administrative tasks for third party software applications that are installed on your Prinergy Virtual Desktop.

11. PRINERGY Virtual Desktops are constrained by the physical Memory and CPU of the Virtual Machine (VM) a customer has purchased as part of their subscription. The performance of a VM that is used to host concurrent virtual desktop instances is impacted by individual user requests that consume memory and/or processing capacity. Therefore, Kodak does not provide a Service Level Agreement (SLA) or Performance Guarantees for PRINERGY Virtual Desktops.

12. Your Representations and Warranties. You represent and warrant that you possess the legal right and ability to agree to this License Agreement, and that all information or material that you transmit through the Software is owned by you, is true, accurate and current, including Login Credentials. You agree that you will not: (i) transmit any material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have written permission from their rightful owner to post the material and to grant the right to use such materials as provided in this Agreement; (ii) submit any false information or misrepresentation that could result in liability or damage to us or any third party; (iii) submit any material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, graphic or gratuitously violent, harassing, hateful, racially or ethnically offensive, encourages conduct that would give rise to criminal or civil liability, violate any law, or is otherwise inappropriate; (iv) impersonate another person, including submitting their photographs as your own; (v) transmit worms, viruses or other malicious codes; and (vi) violate the terms and conditions of any website or application to which you transmit Images through the Software.

13. DISCLAIMER OF WARRANTY. The Software is provided to you “AS IS”. Kodak and its licensors do not warrant that the functions contained in the Software will meet your requirements or that the operation of the Software will be uninterrupted or error free. You assume responsibility for operation of the Software, and for the installation, use, upload of content and results obtained from the Software

The Software may contain hypertext links to third-party web sites or information. Kodak does not make any warranty, endorsement, sponsorship, or recommendation of the third-party, the third-party web site, or the information contained therein. Kodak is not responsible for the availability of any such web site or liable for the content thereon. You need to make your own decisions regarding your interactions or communications with any other web site.

Subject to any applicable legislation which prohibits the following exclusions, KODAK AND ITS LICENSORS MAKE NO WARRANTIES OF ANY KIND RELATED TO THE SOFTWARE, EITHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ARISING FROM COURSE OF PERFORMANCE, DEALING, USAGE OR TRADE. Some states and countries do not allow the exclusion of implied warranties, or have legislation that imposes certain statutory warranties that cannot be excluded, so the above exclusion may not apply to you.

14. LIMITATION OF LIABILITY. Your use of the Software is entirely at your own risk. Under no circumstance will Kodak, its agents, licensors or suppliers be liable to you on account of your use or misuse of, or reliance on, the Software. TO THE EXTENT PERMITTED BY LAW, IN NO EVENT WILL KODAK, ITS AFFILIATES, LICENSORS, SUPPLIERS OR DEALERS BE LIABLE TO YOU FOR ANY ACTUAL, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING ANY LOST PROFITS, LOST SAVINGS, COSTS OF PROCUREMENT OF SUBSTITUTE PRODUCTS OR SERVICES OR OTHER DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some states and countries do not allow the limitation or exclusion of liability for incidental or consequential damages or have legislation that restricts the limitation or exclusion of liability, so the above limitation may not apply to you.

15. Governing Law. If the Software was obtained in the United States, this License is governed by the laws of the State of New York. If the Software was obtained outside of the United States, this License is governed by the laws of the country in which it was obtained. This License shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. If for any reason a court of competent jurisdiction finds any provision, or portion thereof, to be unenforceable, the remainder of this License shall continue in full force and effect.

16. Export Law Assurances. You may not use or otherwise export or re-export the Software except as authorized by United States law and laws of the jurisdiction in which the Software was obtained. In particular, but without limitation, the Software may not be exported or re-exported (a) into (or to a national or resident of) any U.S. embargoed countries (including without limitation Cuba, Iran, Iraq, Libya, North Korea, Serbia, Sudan, and Syria) or (b) to anyone on the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce Denied Person's List or Entity List. By using the Software, you represent and warrant that you are not located in, under control of, or a national or resident of any such country or on any such list.

17. EUROPEAN COMMUNITY PROVISIONS. If you obtained this Software within a country of the European Community, nothing in this License shall be construed as restricting any rights available under applicable European law.

18. Miscellaneous. Each provision of this License Agreement is severable. If a provision is found to be unenforceable, this finding does not affect the enforceability of the remaining provisions, terms, or conditions of this License Agreement. This License Agreement is binding on successors and assigns. Kodak will not be responsible for any non-performance or delay attributable in whole or in part to any cause beyond its reasonable control. Nothing contained herein shall be construed as creating any agency, partnership, or other form of joint enterprise between the parties. You acknowledge that you have read this License Agreement, that you understand it, that you agree to be bound by its terms, and that the foregoing is the complete and exclusive statement of the License Agreement.

LIZENZ

Diese Endbenutzer-Lizenzvereinbarung (im Folgenden „Lizenz“ oder „Lizenzvereinbarung“) ist eine rechtsgültige Vereinbarung zwischen der Eastman Kodak Company („Kodak“) und Ihnen und gilt für die Nutzung dieser Prinergy Cloud-Software, wie z. Die Lizenzgeber von Kodak beziehen sich auf Dritte, die die gesamte oder einen Teil dieser Software an Kodak lizenzieren. Diese Lizenz ist speziell für Kodak und alle Kodak-Lizenzgeber bestimmt.

1. Lizenzgewährung. Solange Sie diese Lizenzvereinbarung einhalten, gewährt Kodak eine nicht exklusive Lizenz zur Nutzung der Software gemäß den unten aufgeführten Einschränkungen. Durch diese Lizenz werden keine Rechte an der Verwendung von Namen, Logos oder Marken von Kodak oder dessen Lizenzgebern übertragen. Diese Lizenzvereinbarung ist nicht für den Verkauf von Software oder anderem geistigen Eigentum bestimmt. 3. EULA von Microsoft. Wenn Sie die Microsoft Remote Desktop-Software für den Zugriff auf Ihren von Kodak gehosteten Prinergy Virtual Desktop verwenden, erklären Sie sich mit den Bedingungen der Endbenutzer-Lizenzvereinbarung von Microsoft einverstanden.

4. Copyright. Die Software ist Eigentum von Kodak bzw. den Lieferanten von Kodak und durch Urheberrechtsgesetze und internationale Verträge geschützt. Sie dürfen die Software nur so kopieren, wie in dieser Lizenz ausdrücklich vorgesehen. Es ist Ihnen untersagt, den Quellcode der Software zurückzuentwickeln, zu dekompilieren, zu zerlegen oder zu versuchen, diesen auf andere Weise abzuleiten, oder Teile der Software für andere Zwecke als die von Kodak vorgegebenen zu verwenden, es sei denn, dies wurde ausdrücklich von Kodak genehmigt. Sie sind nicht befugt, die Software zu modifizieren, anzupassen, zu verändern, zu übersetzen oder daraus abgeleitete Produkte zu erstellen.

5. Laufzeit. Diese Lizenz gilt bis zur Beendigung. Sie können diese Lizenz jederzeit kündigen, indem Sie die Nutzung der Software einstellen. Diese Lizenz wird auch automatisch beendet, wenn Sie eine Bedingung dieser Lizenz nicht erfüllen. Sie erklären sich damit einverstanden, dass Kodak die Lizenz auch nach eigenem Ermessen vorübergehend oder dauerhaft ohne vorherige Ankündigung beenden kann. Nach Beendigung ist die Verwendung der Software einzustellen.

6. Einhaltung von Gesetzen und Bedingungen. Sie erklären sich damit einverstanden, alle geltenden Gesetze in Verbindung mit der Nutzung der Software und der Services einzuhalten. Form und Inhalt von Bildern, Texten oder anderen Materialien, aus denen Sie Produkte übertragen oder erstellen, unterliegen den geltenden Gesetzen (z. B. Gesetzen, die Kindesmissbrauch, Kinderpornographie, Urheberrechtsverletzungen oder den Eingriff in die Privatsphäre verbieten). Wenn Sie die Software zur Übertragung von Material an Kodak, seine verbundenen Unternehmen oder Dritte zum Drucken, zur Produktauslieferung oder zu anderen Zwecken verwenden, müssen Sie die entsprechenden Nutzungsbedingungen einhalten. Sie dürfen die Software nicht dazu verwenden, Kodak, seinen verbundenen Unternehmen oder Dritten Bilder, Texte oder anderes Material zu übermitteln, das rechtswidrig ist, sei es eine Verletzung von Bürgerrechten (wie Verleumdung) oder Strafgesetzen (wie Obszönität) oder das Fördern von Hass aufgrund von Rasse, Religion, Ethnie, Altersgruppe, Geschlechtszugehörigkeit oder sexueller Orientierung. 7. Softwarefunktionen. Zusätzlich zu den in der Softwaredokumentation beschriebenen Funktionen kann die Software Funktionen enthalten, die Kodak in die Lage versetzen, Sie über das Internet über verfügbare Softwareupgrades, Werbeaktionen, Produkte und Dienstleistungen zu informieren, an denen Sie interessiert sein könnten, Produktdatendateien sowie Lehr- und Marketinginhalte in der Software zu aktualisieren und nicht persönlich identifizierbare Nutzungsdaten zu sammeln. Die Software kann auch Funktionen enthalten, mit denen Sie Dateien zur Händlersuche, neue Produktthemen und Produktkataloge herunterladen können. Sie erklären sich damit einverstanden, dass Kodak diese Funktionen nutzen darf, um solche Hinweise und Aktualisierungen bereitzustellen, solche Downloads zu erlauben und solche Daten zu sammeln.

8. Datenschutz. Ein PRINERGY Virtual Desktop-Abonnement erfordert, dass der Kunde die benannten Benutzer, die Zugriff auf PRINERGY-Software und Jobdaten benötigen, an Kodak übermittelt, bevor Ressourcen bereitgestellt werden. Die Software kann in beschränktem Umfang bestimmte Informationen über Sie anfordern oder sammeln, wenn Sie die Software verwenden. Sie sollten auch vorsichtig sein, wenn Sie Informationen über Personen verwenden, die eventuell mit Ihnen geteilt werden.

Kodak kann aggregierte Daten an Lieferanten weitergeben, die Kodak bei der Bereitstellung seiner Produkte und Dienstleistungen unterstützen, an Drittanbieter, mit denen Kodak gemeinsame Werbeaktionen anbietet, sowie an Kodak angeschlossene Unternehmen, einschließlich aller Mutter- oder Tochtergesellschaften von Kodak. Im Rahmen Ihrer Nutzung der Software haben Sie unter Umständen die Möglichkeit, auf die Dienste und Websites von Kodak und Drittanbietern zuzugreifen (gemeinsam und einzeln als „Dienste“ bezeichnet). Für die Nutzung der Dienste ist möglicherweise ein Internetzugang erforderlich, und Sie müssen zusätzliche Nutzungsbedingungen akzeptieren. Sie erkennen an und erklären sich damit einverstanden, dass Kodak und/oder solche Dritte derzeit keine feste Obergrenze für die Anzahl der Übertragungen festgelegt haben, die Sie über die Dienste senden oder empfangen können. Ferner erklären Sie sich einverstanden, dass die für die Bereitstellung des Diensts verwendeten festen Obergrenzen beim Speicherplatz von Kodak und/oder solchen Dritten jederzeit und nach alleinigem Ermessen von Kodak und/oder solchen Dritten festgelegt werden kann.

10. Verwendung von Softwareanwendungen von Drittanbietern. Im Rahmen des Prinergy Virtual Desktop-Abonnements kann Kodak Ihnen die Installation bestimmter Softwareanwendungen ermöglichen, die von Drittanbietern erworben (oder lizenziert) wurden. Sie können diese Drittanbieteranwendungen auf Ihrem Prinergy Virtual Desktop ohne Unterstützung von Kodak ausführen. Sie verstehen und stimmen zu, dass die Verwendung dieser Produkte den Bedingungen Ihrer Vereinbarung mit dem Drittanbieter unterliegt. Kodak bietet keine Support-, Wartungs- oder Verwaltungsaufgaben für Softwareanwendungen von Drittanbietern, die auf Ihrem Prinergy Virtual Desktop installiert sind.

11. PRINERGY Virtual Desktops sind durch den physischen Speicher und die CPU der virtuellen Maschine (VM) eingeschränkt, die ein Kunde im Rahmen seines Abonnements erworben hat. 12. Ihre Zusicherungen und Garantien. Sie sichern zu und garantieren, dass Sie über das Recht und die Fähigkeit verfügen, dieser Lizenzvereinbarung zuzustimmen, und dass alle Informationen oder Materialien einschließlich Anmeldedaten, die Sie über die Software übermitteln, Ihr Eigentum, wahr, korrekt und aktuell sind. 13. HAFTUNGSAUSSCHLUSS. Die Software wird Ihnen wie besehen bereitgestellt. Kodak und seine Lizenzgeber garantieren nicht, dass die in der Software enthaltenen Funktionen Ihre Anforderungen erfüllen und dass die Software unterbrechungs- und fehlerfrei funktioniert. Sie übernehmen die Verantwortung für den Betrieb der Software sowie für die Installation, Nutzung und das Hochladen von Inhalten und Daten, die aus der Software stammen.

Die Software kann Hypertext-Links zu Websites oder Informationen Dritter enthalten. Kodak übernimmt keine Gewährleistung, Verantwortung, Billigung oder Empfehlung des Drittanbieters, der Website des Drittanbieters oder der darin enthaltenen Informationen. Kodak ist nicht für die Verfügbarkeit solcher Websites verantwortlich und haftet nicht für den Inhalt dieser Websites. Diese Lizenz unterliegt nicht dem Übereinkommen der Vereinten Nationen über Verträge über den internationalen Warenkauf, dessen Anwendung ausdrücklich ausgeschlossen ist. 16. Exportgesetz-Versicherungen. Sie dürfen die Software nicht verwenden oder anderweitig exportieren oder erneut exportieren, es sei denn, dies ist durch die Gesetze der Vereinigten Staaten und die Gesetze der Gerichtsbarkeit, in der die Software erworben wurde, gestattet. 18. Verschiedenes. Jede Bestimmung dieser Lizenzvereinbarung gilt für sich allein. Sollte sich eine Bestimmung als nicht durchsetzbar herausstellen, berührt dies nicht die Durchsetzbarkeit der übrigen Bestimmungen oder Bedingungen dieser Lizenzvereinbarung. Diese Lizenzvereinbarung ist für Rechtsnachfolger und Bevollmächtigte bindend. LICENCIA

Este Acuerdo de licencia de usuario final (EULA; “Licencia” o “Acuerdo de licencia”) es un acuerdo legal entre Eastman Kodak Company (“Kodak”) y el usuario, y se aplica al uso del software Prinergy Cloud, incluidos los software Prinergy Virtual Desktop, KODAK Prinergy, KODAK Preps, KODAK Pandora y Kodak ColorFlow, así como toda la documentación relacionada que acompaña esta aplicación (“Software”).

4. Copyright. El Software es propiedad de Kodak, y sus licenciantes o proveedores están protegidos por leyes de copyright y tratados internacionales. El usuario no podrá copiar el Software salvo lo estipulado expresamente en esta Licencia. No podrá realizar ingeniería inversa, descompilar, desmontar ni intentar obtener de ningún otro modo el código fuente del Software, ni utilizar ninguna parte del Software para ningún otro uso que no sea el suministrado por Kodak, a menos que Kodak lo autorice específicamente. No podrá modificar, adaptar, alterar, traducir ni crear trabajos derivados del Software.

5. Rescisión. Esta Licencia entrará en vigor hasta que finalice. El usuario podrá rescindir esta Licencia en cualquier momento dejando de utilizar el Software. Esta Licencia también terminará automáticamente si el usuario no cumple cualquier término o condición de esta Licencia. El usuario acepta que Kodak también podrá, a su entera discreción, rescindir la Licencia de forma temporal o permanente sin previo aviso. 6. Cumplimiento de las leyes y términos. El usuario acepta cumplir todas las leyes aplicables en relación con el uso del Software y los Servicios. Puede utilizar estas aplicaciones de terceros en Prinergy Virtual Desktop sin la ayuda de Kodak. 11. El software PRINERGY Virtual Desktop está limitado por la memoria física y la CPU de la máquina virtual (VM) que un cliente ha adquirido como parte de su suscripción. El rendimiento de una VM que se utiliza para alojar instancias de escritorio virtual simultáneas se ve afectado por las solicitudes de usuarios individuales que consumen memoria y/o capacidad de procesamiento. Por lo tanto, Kodak no ofrece un Acuerdo de nivel de servicios (SLA) ni garantías de rendimiento para PRINERGY Virtual Desktop.

12. Sus declaraciones y garantías. El usuario declara y garantiza que posee el derecho legal y la capacidad de aceptar este Acuerdo de licencia, y que toda la información o material que emita a través del Software es de su propiedad, es verdadera, precisa y actual, incluidas las Credenciales de inicio de sesión. LICENCE

Ce contrat de licence utilisateur final (« Licence » ou « Contrat de licence ») est un contrat légal établi entre Eastman Kodak Company (« Kodak ») et vous et s'applique à votre utilisation du logiciel Prinergy Cloud, ainsi qu'aux logiciels Prinergy Virtual Desktop, KODAK Prinergy, KODAK Preps, KODAK Pandora et Kodak Colorflow et à toute la documentation associée à cette application (« Logiciel »).

Les concédants de licence de Kodak désignent tout tiers concédant la totalité ou une partie de ce logiciel à Kodak. La présente Licence est spécifiquement établie au bénéfice de Kodak et de ses concédants.

1. Octroi de licence. Si vous respectez le présent Contrat de licence, Kodak vous accorde une licence non exclusive d'utilisation du logiciel, sous réserve des restrictions énoncées ci-dessous. La présente Licence ne transmet aucun droit d'utilisation des noms, logos ou marques commerciales de Kodak et de ses concédants de licence. 4. Copyright. Le Logiciel appartient à Kodak, à ses concédants de licence ou à ses fournisseurs et est protégé par les lois sur le copyright et les traités internationaux. Vous n'êtes pas autorisé à effectuer une ingénierie inversée, décompiler, démonter ou effectuer toute autre tentative pour dériver le code source du logiciel, ni à utiliser une partie du logiciel pour une utilisation autre que celle pour laquelle il a été fourni par Kodak, sauf autorisation expresse de Kodak. 5. Durée. La présente Licence est en vigueur jusqu'à sa résiliation. Vous pouvez résilier cette Licence à tout moment en cessant d'utiliser le logiciel. La Licence sera également automatiquement résiliée si vous ne respectez pas les conditions générales de la présente Licence. Vous acceptez que Kodak puisse également, à sa seule discrétion, résilier la Licence de manière temporaire ou permanente sans préavis. 6. Respect des lois et des conditions. Vous acceptez de vous conformer à toutes les lois applicables en relation avec l'utilisation du logiciel et des Services. Vous acceptez de défendre, d'indemniser et de dégager Kodak de toute responsabilité en cas de réclamation découlant de ou liée à votre non-respect des conditions de la présente Section 5.

7. Fonctionnalités logicielles. En plus des fonctions décrites dans la documentation du Logiciel, le Logiciel peut contenir des fonctions qui permettent à Kodak, via Internet, de vous informer des mises à niveau logicielles, des promotions et des produits et services disponibles qui pourraient vous intéresser ; de mettre à jour les fichiers de données produit et le contenu pédagogique et marketing du Logiciel ; et de recueillir des données d'utilisation non identifiables personnellement. Le Logiciel peut également contenir des fonctionnalités qui vous permettent de télécharger des fichiers de localisation de magasins, de nouveaux thèmes de produits et des catalogues de produits. Vous acceptez que Kodak utilise ces fonctions pour fournir ces avis et mises à jour, autoriser ces téléchargements et collecter ces données.

8. Confidentialité. L’abonnement à PRINERGY Virtual Desktop nécessite que le client soumette à Kodak les utilisateurs nommés qui accéderont au logiciel PRINERGY et aux données de travail avant de fournir les ressources. 11. Les bureaux PRINERGY Virtual Desktops sont limités par la mémoire physique et le processeur de la machine virtuelle (VM) achetée par le client dans le cadre de son abonnement. Les performances de la machine virtuelle utilisée pour héberger des instances de bureau virtuel simultanées sont affectées par les demandes individuelles des utilisateurs qui consomment de la mémoire et/ou de la capacité de traitement. Par conséquent, Kodak ne fournit pas de contrat de niveau de service (SLA) ni de garanties de performances pour PRINERGY Virtual Desktops.

12. Vos représentations et garanties. Vous déclarez et garantissez que vous possédez le droit légal et la capacité d'accepter le présent Contrat de licence, et que toutes les informations ou le matériel que vous transmettez par le biais du Logiciel sont votre propriété et sont vrais, exacts et à jour, y compris les informations d'identification de connexion. Cette Licence n'est pas régie par la Convention des Nations Unies sur les contrats de vente internationale de marchandises dont l'application est par conséquent expressément exclue. 8. Privacy. Una volta sottoscritto un abbonamento a PRINERGY Virtual Desktop, il cliente dovrà inviare a Kodak gli utenti specifici che richiedono l'accesso al software PRINERGY e ai dati dei processi prima di effettuare il provisioning delle risorse. Il Software può richiedere o raccogliere determinate informazioni limitate sull'utente quando utilizza il Software. Tali informazioni potrebbero essere costituite dal nome dell'utente, se fornito, dall'indirizzo e-mail, dal nome utente e dalla password per gli account di posta elettronica e i fornitori di servizi online (inclusi, a titolo esemplificativo ma non esaustivo, Kodak, Facebook, Twitter, YouTube e Flickr) ("Credenziali di accesso"), nonché dall'identificazione del dispositivo e da dati tecnici e informazioni correlate, incluse, a titolo esemplificativo ma non esaustivo, le informazioni tecniche sul dispositivo, sul sistema e sul software applicativo dell'utente (collettivamente denominate "Informazioni personali"). 11. I desktop virtuali PRINERGY sono limitati dalla memoria fisica e dalla CPU della macchina virtuale (VM) acquistata dal cliente come parte del suo abbonamento. 12. Dichiarazioni e garanzie dell'utente. L'utente dichiara e garantisce di essere in possesso del diritto legale e della facoltà di accettare il presente Contratto di licenza e che tutte le informazioni o i materiali trasmessi tramite il Software sono di sua proprietà, veritieri, accurati e aggiornati, incluse le Credenziali di accesso. L'utente accetta di non: (i) trasmettere materiale protetto da copyright o segreto commerciale o altrimenti soggetto a diritti di proprietà di terzi, compresi i diritti di privacy e pubblicità, a meno che l'utente stesso non sia il proprietario di tali diritti o abbia ottenuto il permesso scritto dal legittimo proprietario alla pubblicazione del materiale e alla concessione del diritto di utilizzo dello stesso, secondo quanto previsto dal presente Contratto; (ii) inviare informazioni false o descrizioni fuorvianti che potrebbero causare responsabilità o danni a noi o a qualsiasi terza parte; (iii) presentare materiali illegali, osceni, diffamatori, calunniosi, minacciosi, pornografici, visivamente o gratuitamente violenti, molesti, denigratori, razzisti o offensivi dal punto di vista etnico, che incoraggino comportamenti tali da costituire responsabilità civile o penale, violare la legge o risultare in altro modo inappropriati; (iv) impersonare un'altra persona, ad esempio inviando sue fotografie; (v) trasmettere worm, virus o altri codici dannosi; (vi) violare i termini e le condizioni di qualsiasi sito Web o applicazione a cui trasmette immagini tramite il Software.

13. ESCLUSIONE DI GARANZIA. Il Software viene fornito "COSÌ COM'È". 18. Varie. Ogni disposizione del presente Contratto di licenza può essere separata dalle altre. Il presente Contratto di licenza è vincolante per successori e cessionari. 使用許諾

本エンドユーザー使用許諾契約（以下「使用許諾」または「使用許諾契約」）は、Eastman Kodak Company（以下「コダック」）とお客様との間の法的契約であり、Prinergy Virtual Desktop、KODAK Prinergy、KODAK Preps、KODAK Pandora および Kodak Colorflow ソフトウェアなどの Prinergy Cloud ソフトウェア、ならびに本アプリケーションに付属するすべての関連マニュアル（以下「本ソフトウェア」）の使用に適用されます。

コダックの使用許諾者とは、本ソフトウェアの全部または一部をコダックに使用許諾する第三者を指します。本使用許諾は、コダックおよびコダックの使用許諾者の利益を目的としています。

1. 使用許諾の付与。お客様が本使用許諾契約を遵守する限りにおいて、コダックは、以下に定める制限に従って本ソフトウェアを使用する非独占的な使用許諾を付与します。本使用許諾によって、コダックまたはその使用許諾者の名称、ロゴまたは商標の使用権が譲渡されることはありません。本使用許諾契約は、本ソフトウェアまたは他の知的財産の販売を目的としたものではありません。本ソフトウェアにかかるすべての権利、権原および権益ならびにすべての知的財産権は、コダックまたはその使用許諾者が所有します。本契約に明示的に記載されている場合を除き、黙示、禁反言その他の方法によって、特許、著作権、営業秘密、商標その他の知的財産権に基づくその他の権利がお客様に付与されることはありません。

2. 使用の制限。本ソフトウェアは、お客様の個人または会社の電子デバイス（コンピュータ、携帯電話など）からのみ使用できます。お客様は、本ソフトウェアを第三者に再配布、サブライセンス、貸与、賃貸またはリースすることはできません。

3. Microsoft エンドユーザー使用許諾契約。Microsoft Remote Desktop ソフトウェアを使用してコダックがホストする Prinergy Virtual Desktop にアクセスする場合、お客様は、Microsoft エンドユーザー使用許諾契約の条項を遵守することに同意するものとします。

4. 著作権。本ソフトウェアの所有権はコダック、その使用許諾者またはその供給元に帰属し、著作権法および国際条約によって保護されます。お客様は、本使用許諾に明示的に定められている場合を除き、本ソフトウェアをコピーすることはできません。お客様は、コダックから特別に許可されていない限り、本ソフトウェアのソースコードをリバースエンジニアリング、逆コンパイル、逆アセンブル、またはその他の方法で取得しようとすることはできず、また、コダックの提供用途以外の用途では本ソフトウェアのいかなる部分も使用することはできません。お客様は、本ソフトウェアの修正、翻案、改変、翻訳または二次的著作物の作成を行うことはできません。

5. 契約期間。本使用許諾は、終了するまで有効です。お客様は、本ソフトウェアの使用を中止することにより、いつでも本使用許諾を終了することができます。また、お客様が本使用許諾の条件を遵守しなかった場合、本使用許諾は自動的に失効します。お客様は、コダックもまたその単独の裁量により、お客様への事前の通知なしに本使用許諾を一時的または永続的に終了することができることに同意するものとします。終了した時点で、理由の如何にかかわらず、お客様は本ソフトウェアの使用を中止するものとします。

7. ソフトウェアの機能。本ソフトウェアのマニュアルに記載されている機能に加えて、本ソフトウェアには、コダックがインターネット経由で、お客様が関心を示しそうなソフトウェアのアップグレード、プロモーション、製品およびサービスをお客様に通知し、本ソフトウェアの製品データファイルおよび取扱説明書およびマーケティングコンテンツを更新し、個人を特定できない使用データを収集することを可能にする機能が含まれている場合があります。本ソフトウェアには、お客様が店舗検索機能ファイル、新しい商品テーマおよび製品カタログをダウンロードできる機能も含まれている場合があります。お客様は、コダックがこれらの機能を利用して、当該通知および更新を提供し、当該ダウンロードを許可し、当該データを収集することに同意するものとします。

9. 第三者のサービスおよび Web サイト。本ソフトウェアの使用の一環として、お客様は、コダックおよび第三者のサービスおよび Web サイト（以下、総称しても個別でも「本サービス」といいます）にアクセスする機会を提供される場合があります。本サービスの使用にはインターネットアクセスが必要な場合があり、お客様に追加の利用条件の同意を求める場合があります。お客様は、コダックまたは当該第三者が、お客様が本サービスを介して送受信できる送信数または本サービスの提供で使用されるストレージ容量に関する固定上限を現時点で設定していなくても、当該固定上限がコダックまたは当該第三者の単独裁量によりいつでも設定される可能性があることを認め、これに同意するものとします。

10. サードパーティ製ソフトウェアアプリケーションの使用。Prinergy Virtual Desktop サブスクリプションの一部として、コダックは、お客様がサードパーティベンダーから購入した（または使用許諾された）特定のソフトウェアアプリケーションをインストールすることを認める場合があります。お客様は、コダックのサポートなしに、これらのサードパーティ製アプリケーションを Prinergy Virtual Desktop で操作できます。お客様は、これらの製品の使用が当該サードパーティとの契約条件に従うことを理解し、同意するものとします。コダックは、Prinergy Virtual Desktop にインストールされたサードパーティ製ソフトウェアアプリケーションのサポート、メンテナンスおよび管理タスクを提供しません。

17. 欧州共同体における規定。お客様が本ソフトウェアを欧州共同体の国内で入手した場合、本使用許諾のいかなる条項も、適用される欧州法に基づいて取得可能な権利を制限するものとして解釈されないものとします。

18. その他。本使用許諾契約の各条項は、分離可能です。ある条項が強制不能と判断された場合においても、本使用許諾契約の残りの条項または条件の強制力には影響しません。本使用許諾契約は、承継人および譲受人を拘束します。コダックは、その合理的な管理の及ばない原因に全部または一部が起因する不履行または遅延について責任を負いません。本使用許諾のいかなる条項も、両当事者間で代理店、パートナーシップその他の形態の合弁企業を創設すると解釈されるものではありません。お客様は、本使用許諾契約を読み、これを理解し、その条項に拘束されることに同意したことを認め、また、上記が本使用許諾契約の完全かつ唯一の声明であることを認めるものとします。

라이선스

Prinergy Virtual Desktop 가입의 일환으로 Kodak은 귀하가 제삼자 벤더로부터 구매한(또는 사용 허가를 받은) 특정 소프트웨어 애플리케이션의 설치를 허용할 수 있습니다. 귀하는 Kodak의 지원 없이 그러한 제삼자 애플리케이션을 Prinergy Virtual Desktop에서 운영할 수 있습니다. 귀하는 이러한 제품 사용에 대해 귀하가 제삼자와 맺은 계약의 이용 약관이 적용된다는 점을 이해하고 동의합니다. Kodak은 귀하의 Prinergy Virtual Desktop에 설치된 제삼자 소프트웨어 애플리케이션에 대해 일체의 지원, 유지 및 관리 기능을 제공하지 않습니다.

11. PRINERGY Virtual Desktops는 고객이 가입하면서 구매한 가상 머신(VM)의 물리적 메모리 및 CPU의 제약을 받습니다. 동시 가상 데스크톱 인스턴스의 호스팅을 위해 사용되는 VM의 성능은 메모리 및/또는 처리 용량을 소모하는 개별 사용자의 요청에 의해 영향을 받습니다. 따라서 Kodak은 PRINERGY Virtual Desktops에 대해 서비스 수준 계약(SLA) 또는 성능 보장을 제시하지 않습니다.

12. 귀하의 진술 및 보증. 귀하는 자신이 이 라이선스 계약에 동의할 법적 권한과 능력을 갖추고 있으며 자신이 소프트웨어를 통해 전송하는 모든 정보 또는 자료가 자신의 소유이고 진실하고 정확하며 최신 상태임을 진술하고 보증합니다. 귀하는 (i) 저작권이나 영업 기밀로 보호되거나 제삼자의 독점 권리(개인정보 및 퍼블리시티 권리 포함)의 대상이 되는 자료를 전송하는 행위(귀하가 해당 권리의 소유자이거나 정당한 소유자로부터 본 계약에 규정된 바에 따라 해당 자료를 게시하고 해당 자료를 사용할 권리를 부여하도록 서면 허가를 받은 경우는 제외), (ii) 당사 또는 제삼자의 책임이나 손해를 초래할 수 있는 허위 정보 또는 허위 표현을 제출하는 행위, (iii) 불법적이거나 외설적이거나 명예 훼손적이거나 중상적이거나 위협적이거나 포르노성이거나 선정적이거나 근거 없는 폭력성, 괴롭힘, 증오, 인종이나 민족에 대한 혐오를 담고 있거나 형사상 또는 민사상 책임을 불러일으킬 행동을 조장하거나 모든 법률에 위배되거나 기타 부적절한 일체의 자료를 제출하는 행위, (iv) 다른 사람을 사칭하는 행위(타인의 사진을 자신의 것인 양 제출하는 경우 포함), (v) 웜, 바이러스 또는 기타 악성 코드를 전송하는 행위 및 (vi) 귀하가 소프트웨어를 통해 이미지를 전송하는 웹 사이트 또는 애플리케이션의 이용 약관을 위반하지 않는 것에 동의합니다.

13. 보증의 배제사항. 이 소프트웨어는 "있는 그대로" 제공됩니다. Kodak과 그 사용 허가자는 이 소프트웨어에 포함된 기능이 귀하의 요구 사항을 충족한다고 보증하거나 이 소프트웨어 운영 시 중단 또는 오류가 발생하지 않는다고 보증하지 않습니다. 귀하는 소프트웨어의 운영 및 소프트웨어를 통해 얻은 콘텐츠와 결과의 설치, 사용, 업로드에 대한 책임을 집니다.

Termos e Condições do Serviço

Leia atentamente os seguintes termos e condições antes de baixar, instalar ou usar este Software (definido abaixo). A instalação e o uso do Software indica sua aceitação destes termos e condições. LICENÇA

Este Contrato de Licença de Usuário Final (“Licença” ou “Contrato de Licença”) é um contrato legal entre a Eastman Kodak Company (“Kodak”) e você e se aplica ao uso deste software Prinergy Cloud, como Prinergy Virtual Desktop, KODAK Prinergy, KODAK Preps, software KODAK Pandora e Kodak Colorflow e toda a documentação relacionada que acompanha este aplicativo (“Software”).

1. Concessão de Licença. 3. EULA da Microsoft. Se você estiver usando o software Microsoft Remote Desktop para acessar seu Desktop Virtual Prinergy apresentado pela Kodak, você concorda em cumprir os termos do Contrato de Licença de Usuário Final da Microsoft.

4. Direitos Autorais. O Software é de propriedade da Kodak, seus licenciadores ou fornecedores e é protegido por leis de direitos autorais e tratados internacionais. Você não pode copiar o Software além do expressamente disposto nesta Licença. Você não pode fazer engenharia reversa, descompilar, desmontar ou de outra forma tentar derivar o código-fonte do Software, nem usar qualquer parte do Software para qualquer uso que não seja aquele para o qual foi fornecido pela Kodak, a menos que especificamente autorizado pela Kodak. Você não pode modificar, adaptar, alterar, traduzir nem criar trabalhos derivados do Software.

5. Condições. Esta Licença estará em vigor até ser rescindida. Você pode rescindir esta Licença a qualquer momento cessando o uso do Software. Esta Licença também será automaticamente rescindida se você não cumprir qualquer termo ou condição desta Licença. Você concorda que a Kodak também pode, a seu exclusivo critério, rescindir temporariamente ou permanentemente a Licença, sem aviso prévio. 7. Recursos do Software. Além dos recursos descritos na documentação do Software, o Software pode conter recursos que permitem à Kodak, via Internet, notificá-lo sobre atualizações de software, promoções, produtos e serviços disponíveis nos quais você possa estar interessado; atualizar arquivos de dados do produto e conteúdo instrutivo e de marketing no Software; e para coletar dados de uso não pessoais identificáveis. O Software também pode conter recursos que permitem baixar arquivos de localizador de lojas, novos temas de produtos e catálogos de produtos. Você concorda que a Kodak pode utilizar esses recursos para fornecer tais avisos e atualizações, permitir tais downloads e coletar tais dados.

8. Privacidade. Uma assinatura do Desktop Virtual PRINERGY requer que um cliente envie os usuários nomeados que precisarão de acesso ao software PRINERGY e dados do trabalho para a Kodak antes do provisionamento de recursos. O Software pode solicitar ou coletar determinadas informações limitadas sobre você quando você usa o Software. 10. Uso de aplicativos de software de terceiros. Como parte da assinatura do Desktop Virtual Prinergy, a Kodak pode permitir que você instale determinados aplicativos de software, adquiridos (ou licenciados) de fornecedores terceiros. Você pode operar esses aplicativos de terceiros no Desktop Virtual Prinergy sem a assistência da Kodak. Você entende e concorda que o uso desses produtos está sujeito aos termos do seu contrato com o terceiro. A Kodak não fornece nenhuma tarefa de suporte, manutenção ou administração para aplicativos de software de terceiros que sejam instalados no Desktop Virtual Prinergy.

11. Os Desktops Virtuais Prinergy são restritos pela memória física e pela CPU da Máquina Virtual (VM) que um cliente comprou como parte de sua assinatura. O desempenho de uma VM que é usada para hospedar instâncias simultâneas de desktops virtuais é afetado por solicitações de usuários individuais que consomem memória e/ou capacidade de processamento. 12. Suas Representações e Garantias. Você declara e garante que possui o direito legal e a capacidade de concordar com este Contrato de Licença, e que todas as informações ou materiais que você transmite através do Software são de sua propriedade, são verdadeiros, precisos e atuais, incluindo as Credenciais de Login. Você concorda em não: (i) transmitir qualquer material protegido por direitos autorais, segredo comercial ou sujeito a direitos de propriedade de terceiros, incluindo direitos de privacidade e publicidade, a menos que você seja o proprietário de tais direitos ou tenha permissão por escrito de seu legítimo proprietário para publicar o material e conceder o direito de usar tais materiais conforme previsto neste Contrato; (ii) enviar quaisquer informações ou declarações falsas que possam resultar em responsabilidade ou danos a nós ou a terceiros; (iii) enviar qualquer material que seja ilegal, obsceno, difamatório, calunioso, ameaçador, pornográfico, gráfico ou gratuitamente violento, odioso, racial ou etnicamente ofensivo, que encoraje condutas que possam dar origem a responsabilidade criminal ou civil, que viole qualquer lei ou que seja, de outra forma, inapropriado; (iv) representar outra pessoa, incluindo enviar fotografias de outra pessoa como sendo suas; (v) transmitir worms, vírus ou outros códigos maliciosos; e (vi) violar os termos e as condições de qualquer site ou aplicativo para o qual você transmite imagens por meio do Software.

13. ISENÇÃO DE GARANTIA. O Software é fornecido “NO ESTADO EM QUE SE ENCONTRA”. A Kodak e seus licenciadores não garantem que as funções contidas no Software atenderão às suas necessidades nem que a operação do Software será ininterrupta ou sem erros. Lees de volgende algemene voorwaarden zorgvuldig door voordat u deze Software (hieronder gedefinieerd) downloadt, installeert of gebruikt. Door de Software te installeren en te gebruiken, geeft u aan dat u akkoord gaat met deze algemene voorwaarden. Als u niet akkoord gaat met deze algemene voorwaarden, dient u deze toepassing te verwijderen. Deze Software is alleen beschikbaar voor personen van 18 jaar en ouder.

LICENTIE

Deze Licentieovereenkomst voor eindgebruikers ('Licentie' of 'Licentieovereenkomst') is een wettelijke overeenkomst tussen Eastman Kodak Company ('Kodak') en u, en is van toepassing op uw gebruik van deze Prinergy Cloudsoftware, zoals de software van Prinergy Virtual Desktop, KODAK Prinergy, KODAK Preps, Kodak Pandora en Kodak Colorflow, en alle gerelateerde documentatie die bij deze toepassing wordt geleverd ('Software').

Licentiegevers van Kodak zijn derden die de licentie voor deze Software of een deel ervan aan Kodak verlenen. Deze Licentie is specifiek bestemd voor Kodak en licentiegevers van Kodak.

1. Licentieverlening. Zolang u zich aan deze Licentieovereenkomst houdt, verleent Kodak een niet-exclusieve licentie voor het gebruik van de Software met inachtneming van onderstaande beperkingen. Deze Licentie geeft geen recht op het gebruik van namen, logo's of handelsmerken van Kodak of zijn licentiegevers. Alle rechten, aanspraken en belangen, en alle intellectuele eigendomsrechten in en op de Software zijn eigendom van Kodak of zijn licentiegevers. 2. Gebruiksbeperkingen. U mag de Software alleen gebruiken vanaf uw persoonlijke of zakelijke elektronische apparaat (bijv. computer of mobiele telefoon). U mag de Software niet verder distribueren, in sublicentie geven, verhuren, uitlenen of leasen aan derden.

3. Gebruiksrechtovereenkomst (EULA) van Microsoft. Als u de Remote Desktop-software van Microsoft gebruikt om toegang te krijgen tot uw Prinergy Virtual Desktop die wordt gehost door Kodak, gaat u akkoord met de voorwaarden van de Gebruiksrechtovereenkomst van Microsoft.

4. Auteursrecht. De Software is eigendom van Kodak, zijn licentiegevers of zijn leveranciers, en wordt beschermd door auteursrechtwetten en internationale verdragen. U mag de Software niet kopiëren anders dan zoals uitdrukkelijk in deze Licentie wordt vermeld. U mag de broncode van de Software niet reverse-engineeren, decompileren, demonteren of anderszins proberen af te leiden, of delen van de Software gebruiken voor ander doeleinden dan waarvoor die door Kodak zijn geleverd, tenzij dit uitdrukkelijk is toegestaan door Kodak. U mag de Software niet wijzigen, aanpassen, wijzigen, vertalen of er afgeleide werken van maken.

5. Periode. Deze Licentie is van kracht totdat die wordt beëindigd. U kunt deze Licentie op elk moment beëindigen door het gebruik van de Software te beëindigen. Deze Licentie wordt ook automatisch beëindigd als u zich niet houdt aan de voorwaarden van deze Licentie. 6. Naleving van wetten en voorwaarden. U gaat ermee akkoord alle toepasselijke wetten na te leven met betrekking tot het gebruik van de Software en Services. De vorm en inhoud van afbeeldingen, teksten of andere materialen die u verzendt of waarmee u producten maakt, zijn onderhevig aan toepasselijke wetgeving (zoals wetten die kindermisbruik, kinderpornografie, inbreuk op auteursrechten of inbreuk op privacy verbieden). Als u de Software gebruikt om materiaal naar Kodak, aan Kodak gelieerde ondernemingen of derden te verzenden voor afdrukken, productverwerking of andere doeleinden, moet u zich houden aan de relevante servicevoorwaarden. U mag de Software niet gebruiken om onwettige afbeeldingen, teksten of andere materialen naar Kodak, aan Kodak gelieerde ondernemingen of derden te verzenden. U gaat ermee akkoord dat u Kodak zult verdedigen tegen, en schadeloos stellen en vrijwaren van, elke vordering die voortvloeit uit of verband houdt met uw niet-naleving van de voorwaarden van dit Artikel 5.

7. Softwarefuncties. Naast de functies die in de Softwaredocumentatie worden beschreven, kan de Software functies bevatten waarmee Kodak u via internet op de hoogte kan stellen van beschikbare software-upgrades, aanbiedingen, producten en services waarin u mogelijk bent geïnteresseerd; productgegevensbestanden en instructie- en marketinginhoud in de Software kan bijwerken; en gebruiksgegevens kan verzamelen die niet persoonlijk identificeerbaar zijn. De Software kan ook functies bevatten waarmee u winkelzoekerbestanden, nieuwe productthema's en productcatalogi kunt downloaden. U gaat ermee akkoord dat Kodak via deze functies voorziet in bedoelde kennisgevingen en updates, de bedoelde downloads toestaat en bedoelde gegevens verzamelt.

8. Privacy. Een PRINERGY Virtual Desktop-abonnement vereist dat een klant de namen van de gebruikers die toegang tot PRINERGY-software en taakgegevens nodig hebben, bij Kodak opgeeft, voordat de resources worden geleverd. De Software kan bepaalde beperkte informatie over u vragen of die verzamelen wanneer u de Software gebruikt. Deze informatie kan bestaan uit uw naam, als u die opgeeft, uw e-mailadres, uw gebruikersnaam en wachtwoord voor uw e-mailaccounts en onlineserviceproviders (inclusief, maar niet beperkt tot, Kodak, Facebook, Twitter, YouTube en Flickr) ('Aanmeldgegevens'), en apparaatidentificatie, en ook uit technische gegevens en gerelateerde informatie, met inbegrip van, maar niet beperkt tot, technische informatie over uw apparaat, systeem en toepassingssoftware (gezamenlijk 'Persoonsgegevens' genoemd). De Software kan ook informatie verzamelen over de inhoud die u via de Software verzendt en over de ontvangers van de inhoud ('Verzendgegevens'). De Software kan ook cookies of andere passieve trackingmechanismen en tools gebruiken om informatie te verzamelen om uw gebruik van de Software te vergemakkelijken. Alle Persoonsgegevens worden behandeld in overeenstemming met de Privacyverklaring van Kodak. Alle Aanmeldgegevens die u aan de Software verstrekt, worden versleuteld.

Bovendien verzamelt Kodak samengevoegde niet-persoonlijke gegevens van alle gebruikers van de Software met betrekking tot bijvoorbeeld de gegevens over het gebruik van de Software en Prinergy Services ('Samengevoegde gegevens'). Kodak gebruikt de Samengevoegde gegevens alleen om het algemene gebruik van de Software en de Services door klanten te beoordelen om te bepalen hoe de software wordt gebruikt en hoe deze en andere producten kunnen worden verbeterd.

Houd er rekening mee dat de aard van de Software en de services interactief is en dat een deel van uw gebruik van de Software bestaat uit de gelegenheid om informatie en inhoud te delen met derden. Wees voorzichtig bij het beslissen welke informatie en inhoud u wilt delen via de Software. Wees ook voorzichtig bij het gebruik van informatie over personen die met u wordt gedeeld.

Kodak kan Samengevoegde gegevens delen met leveranciers die Kodak helpen bij het leveren van producten en diensten; met zakenpartners van derden waarmee Kodak gezamenlijke aanbiedingen doet; met aan Kodak gelieerde ondernemingen, waaronder moedermaatschappijen of dochterondernemingen van Kodak. Kodak kan ook Samengevoegde gegevens delen als Kodak van mening is dat het noodzakelijk is om te voldoen aan juridische procedures (zoals een gerechtelijk bevel, dagvaarding of huiszoekingsbevel) of andere wettelijke vereisten van overheidsinstanties; als Kodak van mening is dat dit de aansprakelijkheid van Kodak in een feitelijke of potentiële rechtszaak zou kunnen beperken; als Kodak van mening is dat dit wettelijk is toegestaan of niet in strijd is met de wet; of als Kodak van mening is dat het anderszins noodzakelijk is om de rechten of eigendommen van Kodak te beschermen, of dat het noodzakelijk is om de belangen van andere gebruikers van de Software te beschermen. In het onwaarschijnlijke geval dat Kodak geheel of gedeeltelijk wordt verkocht of wordt overgenomen door een derde, zal Kodak bedoelde informatie overdragen aan de nieuwe bedrijfseigenaar.

9. Services en websites van derden. Als onderdeel van uw gebruik van de Software kunt u toegang krijgen tot services en websites van Kodak en derden (gezamenlijk en individueel 'Services' genoemd). Voor het gebruik van de Services is mogelijk internettoegang en uw acceptatie van aanvullende gebruiksvoorwaarden vereist. U erkent en stemt ermee in dat, hoewel Kodak en/of deze derden momenteel wellicht geen vaste bovengrens hebben ingesteld voor het aantal verzendingen dat u via de Services kunt versturen of ontvangen, of voor de hoeveelheid opslagruimte die wordt gebruikt voor de levering van de Service, dergelijke vaste bovengrenzen naar eigen goeddunken van Kodak en/of derden op elk moment door Kodak en/of derden kunnen worden ingesteld.

10. Gebruik van softwaretoepassingen van derden. Als onderdeel van het Prinergy Virtual Desktop-abonnement kan Kodak u toestaan bepaalde softwaretoepassingen te installeren die zijn aangeschaft bij (of in licentie zijn gegeven door) andere leveranciers. U kunt deze toepassingen van andere leveranciers op uw Prinergy Virtual Desktop gebruiken zonder hulp van Kodak. U begrijpt en gaat ermee akkoord dat uw gebruik van deze producten onderhevig is aan de voorwaarden van uw overeenkomst met de andere leverancier. Kodak biedt geen ondersteuning, onderhoud of administratieve taken voor softwaretoepassingen van andere leveranciers die op uw Prinergy Virtual Desktop zijn geïnstalleerd.

11. PRINERGY Virtual Desktops worden beperkt door het fysieke Geheugen en de CPU van de Virtual Machine (VM) die een klant heeft aangeschaft als onderdeel van het abonnement. De prestaties van een VM die wordt gebruikt om gelijktijdige virtuele desktopinstanties te hosten, worden beïnvloed door individuele gebruikersverzoeken die geheugen en/of verwerkingscapaciteit verbruiken. Daarom biedt Kodak geen Service Level Agreement (SLA) of prestatiegaranties voor PRINERGY Virtual Desktops.

12. Uw verklaringen en garanties. U verklaart en garandeert dat u het wettelijke recht en de mogelijkheid hebt om akkoord te gaan met deze Licentieovereenkomst, en dat alle informatie en materialen die u via de Software verzendt, uw eigendom, waarheidsgetrouw, nauwkeurig en actueel zijn, inclusief uw Aanmeldgegevens. U gaat ermee akkoord dat u niet: (i) materiaal verzendt dat door auteursrecht of handelsgeheimen wordt beschermd, of anderszins onderhevig is aan eigendomsrechten van derden, inclusief privacy- en publiciteitsrechten, tenzij u de eigenaar bent van deze rechten of schriftelijke toestemming hebt van de rechtmatige eigenaar om het materiaal te publiceren en het recht te verlenen dergelijke materialen te gebruiken zoals bepaald in deze Overeenkomst; (ii) valse informatie of een onjuiste voorstelling van zaken verstrekt die ertoe kan leiden dat wij of derden aansprakelijkheid worden gesteld of schade lijden; (iii) materiaal indient dat onwettig, onzedelijk, lasterlijk, smadelijk, bedreigend, pornografisch, expliciet of nodeloos gewelddadig, beledigend, haatdragend, racistisch of etnisch kwetsend is, gedrag aanmoedigt dat tot strafrechtelijke of civiele aansprakelijkheid kan leiden, een wet overtreedt of anderszins ongepast is; (iv) zich voordoet als iemand anders, inclusief het verzenden van foto's alsof die van u zouden zijn; (v) wormen, virussen of andere schadelijke code verzendt; en (vi) de voorwaarden schendt van een website of toepassing waarnaar u afbeeldingen verzendt via de Software.

13. AFWIJZING VAN GARANTIE. De Software wordt aan u geleverd 'AS IS' (in de huidige staat). Kodak en zijn licentiegevers garanderen niet dat de functies in de Software aan uw vereisten voldoen of dat de werking van de Software ononderbroken of foutloos zal zijn. U bent zelf verantwoordelijk voor de bediening van de Software, voor de installatie, het gebruik en het uploaden van inhoud, en voor de resultaten die worden verkregen via de Software.

De Software kan hypertekstlinks bevatten naar websites of informatie van derden. Kodak geeft geen enkele garantie voor, of goedkeuring of aanbeveling van derden, websites van deze derden of de daarin opgenomen informatie, en sponsort deze niet. Kodak is niet verantwoordelijk voor de beschikbaarheid van dergelijke websites en is niet aansprakelijk voor de inhoud ervan. U moet uw eigen beslissingen nemen met betrekking tot uw interacties en communicatie met andere websites.

16. Exportwetgaranties. U mag de Software niet gebruiken of anderszins uitvoeren of wederuitvoeren, tenzij dit is toegestaan volgens de wetgeving van de Verenigde Staten en de wetgeving van het rechtsgebied waarin de Software is verkregen. In het bijzonder, maar zonder beperking, mag de Software niet worden uitgevoerd of wederuitgevoerd (a) naar (een staatsburger of ingezetene van) een land waarvoor de V.S. een embargo heeft ingesteld (met inbegrip van, maar niet beperkt tot, Cuba, Iran, Irak, Libië, Noord-Korea, Servië, Soedan en Syrië) of (b) naar personen die op de lijst van Specially Designated Nationals van het Amerikaanse Ministerie van Financiën of de lijst van Denied Persons or Entity List van het Amerikaanse Ministerie van Economische Zaken staan. 18. Diversen. Elke bepaling van deze Licentieovereenkomst is scheidbaar. Indien een bepaling onafdwingbaar wordt bevonden, heeft deze bevinding geen invloed op de afdwingbaarheid van de overige bepalingen, voorwaarden of bepalingen van deze Licentieovereenkomst. Deze Licentieovereenkomst is bindend voor opvolgers en rechtverkrijgenden. Kodak is niet verantwoordelijk voor niet-nakoming of vertraging die geheel of gedeeltelijk is toe te schrijven aan een oorzaak buiten zijn redelijke macht. Niets hierin mag worden geïnterpreteerd als de oprichting van een agentschap, partnerschap of andere vorm van gezamenlijke onderneming tussen de partijen. U erkent dat u deze Licentieovereenkomst hebt gelezen, dat u deze begrijpt, dat u akkoord gaat met de voorwaarden ervan en dat het voorgaande de volledige en exclusieve verklaring van de Licentieovereenkomst is.

Niniejsza Umowa Licencyjna Użytkownika („Licencja” lub „Umowa Licencyjna”) stanowi umowę między spółką Eastman Kodak Company („firma Kodak”) i użytkownikiem dotyczącą używania oprogramowania Prinergy Cloud, takiego jak Prinergy Virtual Desktop, KODAK Prinergy, KODAK Preps, KODAK Pandora i Kodak Colorflow („Oprogramowanie”) i wszelkiej powiązanej z nimi dokumentacji.

Określenie licencjodawcy firmy Kodak odnosi się do wszystkich stron trzecich, które udzielają licencji na całość lub część takiego Oprogramowania dla firmy Kodak. Celem tej Licencji jest ochrona korzyści firmy Kodak lub jej licencjodawców.

1. Udzielenie Licencji. Kodak udziela niewyłącznej licencji na używanie Oprogramowania zgodnie z ograniczeniami przedstawionymi poniżej, pod warunkiem postępowania przez użytkownika zgodnie z niniejszą Umową Licencyjną. Na podstawie niniejszej Licencji firma Kodak nie przekazuje żadnych praw do używania nazw, logotypów i znaków towarowych firmy Kodak ani jej licencjodawców. Niniejsza Umowa Licencyjna nie dotyczy sprzedaży Oprogramowania ani żadnej innej własności intelektualnej. Wszelkie prawa, tytuły i możliwości czerpania korzyści, a także wszelkie prawa własności intelektualnej w Oprogramowaniu lub do niego należą do firmy Kodak lub jej licencjodawców. Z wyjątkiem przypadków wyraźnie określonych w niniejszym dokumencie, użytkownikowi nie udziela się żadnych innych praw w sposób dorozumiany, zgodnie z zasadą estoppel lub w inny sposób, na podstawie jakichkolwiek patentów, praw autorskich, tajemnicy handlowej, znaków towarowych lub innych praw własności intelektualnej.

2. Ograniczenia Użytkowania. Oprogramowania można używać wyłącznie z osobistego lub firmowego urządzenia elektronicznego (np. komputera, telefonu komórkowego itp.). Użytkownik nie może dalej rozpowszechniać, sublicencjonować, dzierżawić, wypożyczać ani leasingować Oprogramowania stronom trzecim.

3. Umowa Licencyjna Użytkownika Oprogramowania firmy Microsoft. W przypadku korzystania z oprogramowania Pulpit zdalny Microsoft w celu uzyskania dostępu do oprogramowania Prinergy Virtual Desktop obsługiwanego przez firmę Kodak użytkownik wyraża zgodę na przestrzeganie warunków Umowy Licencyjnej Użytkownika Oprogramowania firmy Microsoft.

4. Prawa Autorskie. Oprogramowanie stanowi własność firmy Kodak, jej licencjodawców lub dostawców i jest chronione prawami autorskimi i umowami międzynarodowymi. Użytkownik nie może kopiować Oprogramowania w inny sposób, niż przedstawiono w niniejszej Licencji. Nie jest dozwolone odtwarzanie kodu źródłowego, dekompilowanie, dezasemblowanie lub wykonywanie innych prób uzyskania kodu źródłowego Oprogramowania ani używanie jakiejkolwiek części Oprogramowania do celu innego niż określony przez firmę Kodak, chyba że zostało to wyraźnie dozwolone przez firmę Kodak. Użytkownik nie może modyfikować, dostosowywać, zmieniać, tłumaczyć ani tworzyć prac pochodnych przy użyciu Oprogramowania.

5. Termin. Niniejsza Licencja pozostaje w mocy do jej rozwiązania. Użytkownik może rozwiązać niniejszą licencję w dowolnym momencie poprzez zaprzestanie korzystania z Oprogramowania. Niniejsza Licencja ulega automatycznemu rozwiązaniu w przypadku, gdy użytkownik nie spełni dowolnego warunku tej Licencji. Użytkownik zgadza się, że firma Kodak może również, według własnego uznania, tymczasowo lub na stałe rozwiązać Licencję bez uprzedniego powiadomienia użytkownika. Po rozwiązaniu umowy z dowolnego powodu użytkownik powinien zaprzestać korzystania z Oprogramowania.

6. Zgodność z Prawem i Postanowieniami Licencji. Użytkownik zgadza się przestrzegać wszystkich obowiązujących przepisów prawa w związku z korzystaniem z Oprogramowania i Usług. Forma i zawartość obrazów, tekstu lub innych materiałów, które użytkownik przesyła lub na podstawie których tworzy produkty jest regulowana przez odpowiednie przepisy prawa (dotyczące m.in. przemocy wobec dzieci, pornografii dziecięcej czy naruszenia praw autorskich lub prywatności). W przypadku, gdy użytkownik korzysta z Oprogramowania w celu przesyłania materiałów do firmy Kodak, jej spółek stowarzyszonych lub dowolnej strony trzeciej w celu wydrukowania, opracowania produktu lub do innych celów, wówczas jest zobowiązany do przestrzegania odpowiednich warunków usługi. Użytkownik nie może korzystać z Oprogramowania w celu przesyłania do firmy Kodak, jej spółek stowarzyszonych lub dowolnej strony trzeciej jakichkolwiek obrazów, tekstu ani materiałów, które są nielegalne i naruszają dobra osobiste (np. naruszenie dobrego imienia) lub prawo karne (np. obsceniczność) bądź podżegają do nienawiści względem jakiejkolwiek rasy, religii, grupy etnicznej, grupy wiekowej, płci lub osób o określonej orientacji seksualnej lub w jakichkolwiek inny sposób naruszają prawo. Użytkownik zgadza się bronić, zwolnić z odpowiedzialności i chronić firmę Kodak przed odpowiedzialnością w związku z jakimikolwiek roszczeniami wynikającymi lub związanymi z nieprzestrzeganiem przez użytkownika warunków przedstawionych w Sekcji 5.

7. Funkcje Oprogramowania. Poza funkcjami opisanymi w dokumentacji, Oprogramowanie może zawierać funkcje, które umożliwiają firmie Kodak powiadamianie użytkownika przez Internet o dostępnych aktualizacjach oprogramowania, promocjach, produktach i usługach, którymi może być zainteresowany użytkownik; aktualizacje plików danych produktu oraz zawartości instruktażowej i marketingowej w Oprogramowaniu, a także gromadzenie danych dotyczących użytkowania, które nie umożliwiają identyfikacji użytkownika. Oprogramowanie może również zawierać funkcje umożliwiające użytkownikowi pobieranie plików służących do wyszukiwania punktów handlowych, nowych szat graficznych produktu i katalogów produktów. Użytkownik zgadza się na użycie przez firmę Kodak tych funkcji w celu zapewniania tych powiadomień i uaktualnień, pobierania tych plików oraz gromadzenia tych danych.

8. Zasady prywatności. Subskrypcja PRINERGY Virtual Desktop wymaga, aby klient przed dostarczeniem zasobów udostępnił nazwanych użytkowników, którzy będą potrzebować dostępu do oprogramowania PRINERGY i danych zadania firmy Kodak. Podczas korzystania z Oprogramowania, Oprogramowanie może żądać albo gromadzić pewne ograniczone informacje na temat użytkownika. Informacje te mogą obejmować imię i nazwisko użytkownika, pod warunkiem podania ich przez użytkownika, adres e-mail użytkownika, nazwę użytkownika i hasło do kont e-mail użytkownika oraz serwisów internetowych (w tym m.in. usługi firmy Kodak, Facebook, Twitter, YouTube i Flickr) („Poświadczenia Logowania”), jak również informacje identyfikujące urządzenie oraz dane techniczne i powiązane informacje, włącznie z informacjami technicznymi na temat urządzeń, systemu i oprogramowania użytkownika (łącznie określane jako „Dane Osobowe”). Oprogramowanie może także gromadzić informacje dotyczące zawartości wysyłanej przez użytkownika za pośrednictwem Oprogramowania oraz adresatów, do których użytkownik wysyła taką zawartość („Dane Transmisyjne”). Oprogramowanie może także używać plików cookie lub innych mechanizmów i narzędzi śledzenia pasywnego do gromadzenia informacji umożliwiających wykorzystanie Oprogramowania przez użytkownika. Wszystkie Dane Osobowe będą przetwarzane zgodnie z zasadami określonymi w Oświadczeniu o Polityce Prywatności firmy Kodak. Wszystkie Poświadczenia Logowania podane przez użytkownika w Oprogramowaniu będą zaszyfrowane.

Ponadto firma Kodak będzie gromadzić zbiorcze dane nieosobowe od wszystkich użytkowników Oprogramowania, dotyczące na przykład danych związanych z użytkowaniem Oprogramowania i Usług Prinergy („Dane Zbiorcze”). Firma Kodak będzie używać Danych Zbiorczych wyłącznie do oceny ogólnego wykorzystania Oprogramowania przez klientów w celu określenia sposobu jego użycia oraz metod ulepszenia Oprogramowania i innych produktów.

Należy pamiętać, że ze względu na interaktywną naturę Oprogramowania i usług, a także w ramach wykorzystania Oprogramowania przez użytkownika, użytkownik uzyska możliwość udostępniania informacji i zawartości stronom trzecim. Należy zachować ostrożność podczas wybierania informacji i zawartości do udostępnienia za pośrednictwem Oprogramowania. Należy również zachować ostrożność podczas korzystania z informacji o osobach, które mogą być udostępniane użytkownikowi.

Firma Kodak może udostępniać Dane Zbiorcze dostawcom, którzy zapewniają pomoc firmie Kodak przy udostępnianiu jej produktów i usług, innym partnerom biznesowym, z którymi firma Kodak prowadzi wspólne promocje, spółkom powiązanym z firmą Kodak, włącznie ze spółką macierzystą i spółkami zależnymi firmy Kodak. Ponadto firma Kodak może udostępniać Dane Zbiorcze, jeśli firma Kodak uzna, że jest to wymagane w celu przestrzegania procesów prawnych (takich jak nakaz lub wezwanie sądowe, nakaz rewizji itp.) lub innych wymagań odpowiednich władz; jeśli firma Kodak uzna, że może to wyeliminować odpowiedzialność firmy Kodak w trwającym lub potencjalnym procesie sądowym; jeśli firma Kodak uzna, że jest to dozwolone przez prawo lub nie spowoduje to naruszenia prawa; bądź jeśli firma Kodak uzna, że jest to niezbędne w celu ochrony praw lub własności firmy Kodak lub w celu ochrony innych użytkowników Oprogramowania. W przypadku mało prawdopodobnego zdarzenia polegającego na sprzedaży lub przejęciu całości lub części firmy Kodak przez stronę trzecią, firma Kodak przekaże te informacje nowemu właścicielowi firmy.

9. Usługi i Witryny Internetowe Stron Trzecich. W ramach korzystania z Oprogramowania przez użytkownika, użytkownik otrzyma możliwość uzyskania dostępu do usług i witryn internetowych firmy Kodak i stron trzecich (łącznie i oddzielnie „Usługi”). Korzystanie z Usług może wymagać dostępu do Internetu i zaakceptowania przez użytkownika dodatkowych warunków użytkowania. Użytkownik przyjmuje do wiadomości i zgadza się, że chociaż firma Kodak i/lub strony trzecie mogły obecnie nie ustalić stałego górnego limitu liczby transmisji, które użytkownik może wysyłać lub odbierać za pośrednictwem Usług lub ilości pamięci masowej wykorzystanej do świadczenia Usługi, takie stałe górne limity mogą być ustalane przez firmę Kodak i/lub strony trzecie w dowolnym momencie, według uznania firmy Kodak i/lub stron trzecich.

10. Korzystanie z Aplikacji Innych Firm. W ramach subskrypcji Prinergy Virtual Desktop firma Kodak może zezwolić użytkownikowi na instalowanie określonych aplikacji zakupionych (lub licencjonowanych) od innych dostawców. Aplikacje innych firm można obsługiwać w oprogramowaniu Prinergy Virtual Desktop bez pomocy firmy Kodak. Użytkownik rozumie i zgadza się, że korzystanie z tych produktów podlega warunkom umowy zawartej ze stroną trzecią. Firma Kodak nie zapewnia wsparcia, konserwacji ani zadań administracyjnych dla aplikacji innych firm, które są zainstalowane w oprogramowaniu Prinergy Virtual Desktop.

11. Aplikacje PRINERGY Virtual Desktop są ograniczone przez pamięć fizyczną i procesor maszyny wirtualnej (VM) zakupionej przez klienta w ramach subskrypcji. Na wydajność maszyny wirtualnej, która jest używana do obsługi jednoczesnych instancji pulpitu wirtualnego, mają wpływ indywidualne żądania użytkowników, które zużywają pamięć i/lub możliwość przetwarzania. W związku z tym firma Kodak nie zapewnia Umowy Dotyczącej Poziomu Usług (SLA) ani Gwarancji Wydajności dla aplikacji PRINERGY Virtual Desktop.

12. Oświadczenia i Gwarancje Użytkownika. Użytkownik oświadcza i zapewnia, że posiada prawo i zdolność do wyrażenia zgody na warunki niniejszej Umowy Licencyjnej, a także że wszystkie informacje i materiały przesyłane przez użytkownika za pośrednictwem Oprogramowania należą do użytkownika, są prawdziwe, dokładne i bieżące, włącznie z Poświadczeniami Logowania. Użytkownik zgadza się nie: (i) przesyłać żadnych materiałów chronionych prawami autorskimi, chronionych tajemnicą handlową ani w innych sposób chronionych prawami własności stron trzecich, włącznie z prawami dotyczącymi prywatności i wizerunku, chyba że użytkownik jest właścicielem takich praw lub posiada pisemną zgodę prawnego właściciela na publikowanie materiałów i udzielanie prawa do użycia takich materiałów zgodnie z warunkami niniejszej Umowy; (ii) przesyłać żadnych informacji fałszywych lub wprowadzających w błąd, których wynikiem może być odpowiedzialność lub szkoda firmy Kodak bądź stron trzecich; (iii) przesyłać jakichkolwiek materiałów, które są nielegalne, obsceniczne, zniesławiające, oszczercze, groźne, pornograficzne, przedstawiające przemoc w sposób graficzny lub niepożądany, nękające, podżegające do nienawiści, obraźliwe rasowo lub etnicznie, zachęcające do zachowań, które prowadzą do odpowiedzialności karnej lub cywilnej, naruszają jakiekolwiek prawo lub są w inny sposób niewłaściwe; (iv) podszywać się pod inną osobę, włącznie z przesyłaniem ich fotografii jako własnych; (v) przesyłać robaków, wirusów lub innego złośliwego kodu; (vi) naruszać warunków jakiejkolwiek witryny internetowej lub aplikacji, do których użytkownik będzie przesyłał obrazy za pośrednictwem Oprogramowania.

13. WYŁĄCZENIE ODPOWIEDZIALNOŚCI Z TYTUŁU GWARANCJI. Oprogramowanie jest udostępniane użytkownikowi „W STANIE TAKIM, JAKIE JEST”. Firma Kodak i jej licencjodawcy nie gwarantują, że funkcje zawarte w Oprogramowaniu będą spełniały wymagania użytkownika, a także że Oprogramowanie będzie działało w sposób niezakłócony lub wolny od błędów. Użytkownik przyjmuje odpowiedzialność za obsługiwanie Oprogramowania, a także za jego instalację, używanie i uzyskane wyniki.

Oprogramowanie może zawierać łącza hipertekstowe do witryn internetowych lub informacji stron trzecich. Firma Kodak nie gwarantuje, nie zachęca, nie sponsoruje ani nie rekomenduje stron trzecich, witryn internetowych stron trzecich ani zawartych w nich informacji. Firma Kodak nie jest odpowiedzialna za dostępność takich witryn internetowych ani za ich zawartość. Użytkownik powinien podejmować własne decyzje dotyczące korzystania z innych witryn internetowych.

Bez uszczerbku dla obowiązujących przepisów zabraniających takich wykluczeń FIRMA KODAK I JEJ LICENCJODAWCY NIE UDZIELAJĄ ŻADNYCH GWARANCJI JAKIEGOKOLWIEK RODZAJU, WYRAŹNYCH LUB DOROZUMIANYCH, W TYM DOROZUMIANYCH GWARANCJI SPRZEDAŻY I PRZYDATNOŚCI DO OKREŚLONEGO CELU, NIENARUSZANIA PRAW LUB WYNIKAJĄCYCH Z DZIAŁANIA, OBSŁUGI, UŻYCIA LUB SPRZEDAŻY. W niektórych stanach i państwach nie jest dozwolone wykluczanie dorozumianych gwarancji albo obowiązują tam przepisy narzucające pewne gwarancje ustawowe, których nie można wykluczać, wówczas powyższe wykluczenie może nie mieć zastosowania w stosunku do użytkownika.

14. OGRANICZENIE ODPOWIEDZIALNOŚCI. Użytkownik korzysta z Oprogramowania wyłącznie na własne ryzyko. W żadnym razie firma Kodak, jej przedstawiciele, licencjodawcy ani dostawcy nie ponoszą odpowiedzialności wobec użytkownika w zakresie używania przez niego Oprogramowania, używania Oprogramowania niezgodnie z przeznaczeniem bądź polegania na Oprogramowaniu przez użytkownika. W ZAKRESIE DOPUSZCZALNYM PRZEZ PRAWO FIRMA KODAK, JEJ LICENCJODAWCY, DOSTAWCY ANI SPRZEDAWCY NIE PONOSZĄ ODPOWIEDZIALNOŚCI WOBEC UŻYTKOWNIKA ZA JAKIEKOLWIEK SZKODY FAKTYCZNE, BEZPOŚREDNIE, POŚREDNIE, INCYDENTALNE, SPECJALNE, WTÓRNE LUB RETORSYJNE, W TYM UTRATĘ ZYSKU LUB OSZCZĘDNOŚCI, KOSZTY UZYSKANA PRODUKTÓW LUB USŁUG ZASTĘPCZYCH ALBO INNE SZKODY WYNIKAJĄCE Z UŻYWANIA LUB BRAKU MOŻLIWOŚCI UŻYWANIA OPROGRAMOWANIA, NAWET JEŚLI POWIADOMIONO O MOŻLIWOŚCI WYSTĄPIENIA TAKICH SZKÓD. W niektórych stanach i państwach nie jest dozwolone ograniczanie lub wykluczanie odpowiedzialności za szkody przypadkowe lub pośrednie albo obowiązują tam przepisy ograniczające zakres takich ograniczeń lub wykluczeń, wówczas powyższe ograniczenie może nie mieć zastosowania do użytkownika.

15. Prawo Właściwe. Jeśli Oprogramowanie zostało uzyskane w Stanach Zjednoczonych, niniejsza Licencja podlega prawu stanu Nowy Jork. Jeśli Oprogramowanie uzyskano poza Stanami Zjednoczonymi, niniejsza Licencja podlega prawu państwa, w którym je uzyskano. Niniejsza licencja nie podlega Konwencji Narodów Zjednoczonych o Umowach Międzynarodowej Sprzedaży Towarów, której stosowanie zostaje niniejszym wyraźnie wykluczone. Jeśli z jakiejkolwiek przyczyny kompetentny sąd określi, że dowolne postanowienie lub fragment niniejszej Licencji nie ma mocy prawnej, pozostała część Licencji pozostaje w mocy i jest skuteczna.

16. Postanowienia związane z Prawem Eksportowym. Niedozwolone jest eksportowanie bądź reeksportowanie Oprogramowania inaczej niż w zgodzie z prawem Stanów Zjednoczonych oraz prawami jurysdykcji, pod którą nabyto Oprogramowanie. W szczególności, ale bez ograniczeń, Oprogramowanie nie może być eksportowane ani reeksportowane (a) do (lub do kraju lub rezydenta) krajów objętych embargiem USA (w tym m.in. Kuby, Iranu, Iraku, Libii, Korei Północnej, Serbii, Sudanu i Syrii) lub (b) do wszystkich, którzy figurują na liście specjalnie wyznaczonych obywateli Departamentu Skarbu Stanów Zjednoczonych lub liście osób lub podmiotów odrzuconych przez Departament Handlu Stanów Zjednoczonych. Korzystając z Oprogramowania, użytkownik oświadcza i zapewnia, że nie znajduje się w którymkolwiek z tych krajów, nie pozostaje pod jego kontrolą ani nie jest jego obywatelem, jak również nie jest wymieniany na wspomnianych listach.

17. POSTANOWIENIA DOTYCZĄCE WSPÓLNOTY EUROPEJSKIEJ. Jeśli niniejsze Oprogramowanie zostało uzyskane w państwie Wspólnoty Europejskiej, żadne postanowienie niniejszej Licencji nie ogranicza jakiegokolwiek prawa określonego w obowiązującym prawie europejskim.

18. Inne Postanowienia. Wszystkie postanowienia niniejszej Umowy Licencyjnej uznaje się za rozdzielne. Jeśli dowolne postanowienie nie ma mocy prawnej, nie ma to wpływu na obowiązywanie pozostałych postanowień lub warunków niniejszej Umowy Licencyjnej. Niniejsza Umowa Licencyjna jest wiążąca dla spadkobierców i beneficjentów. Firma Kodak nie będzie odpowiedzialna za brak działania lub opóźnienie wynikające w całości lub części z przyczyn, nad którymi firma Kodak nie ma kontroli. Żadne postanowienie niniejszej Umowy nie powinno być traktowane jako utworzenie przedstawicielstwa, partnerstwa lub innej formy wspólnego przedsięwzięcia między stronami. Użytkownik potwierdza, że zapoznał się z niniejszą Umową Licencyjną, zrozumiał jej treść i uznaje ją za wiążącą. Potwierdza także, że wyżej wymienione postanowienia stanowią pełne i wyłączne warunki Umowy Licencyjnej.
